IAA Strongly Supports SEC Proposal to Modernize Electronic Delivery Framework

The Investment Adviser Association (IAA) today filed a comment letter strongly supporting the Securities and Exchange Commission’s proposed Regulation E-Delivery and urging the Commission to move forward with a final rule.
The IAA has long advocated for modernizing the SEC’s electronic delivery framework and appreciates the Commission’s thoughtful and comprehensive proposal. The proposal represents an important and long-overdue step toward recognizing e-delivery as the default method for regulatory communications while preserving investor choice.
“We strongly support the SEC’s proposal and appreciate the Commission’s comprehensive approach to modernizing its e-delivery framework,” said Karen Barr, IAA President & CEO. “This modernization is long overdue. We encourage the Commission to adopt the proposal, with refinements that will make the framework more evergreen and operationally workable and help firms realize the cost and efficiency benefits of e-delivery while providing investors with a better disclosure experience.”
The IAA also appreciates the Commission’s extensive requests for feedback on how the framework should operate in practice. In its letter, the IAA recommends several refinements designed to make the final rule more principles-based, technology-neutral, and workable for advisers of different sizes and business models. These include greater flexibility regarding electronic delivery methods and communications, existing e-delivery arrangements, electronic addresses and alerts, investor preferences, and paper delivery.
“These recommendations are intended to further the Commission’s objectives, not change the fundamental direction of the proposal,” Barr said. “A flexible, technology-neutral framework can reduce unnecessary costs and operational burdens while encouraging firms to use technology to make required disclosures more accessible, navigable, and useful to investors.”
